1. INTRODUCTION

These are the terms of use for the ramp service provided by Olympus Capital JSC ("Changex", "we" or "us") to you, the individual user (“Client”, "User" or "you"). The ramp service is a component of the Changex platform designed to allow users to exchange cryptocurrencies to fiat currencies and vice versa.

These terms are in conjunction with, and should be understood as part of, the overall Terms of Use governing your utilisation of the www.changex.io website ("website") and the suite of Changex applications ("Changex Wallet", "Changex App", "Changex Applications"), collectively referred to herein as the "services" or "Changex".

Your use of the ramp service signifies your agreement to these terms and to the overarching Terms of Use for the services provided by Changex. Please read both these terms and the general Terms of Use carefully before accessing or using our services. If you disagree with these terms or the general Terms of Use, you should refrain from using our services.

The services are operated by Olympus Capital JSC with registration number 206820199 and registered address: bul. Simeonovsko shose 33, Sofia 1700, Bulgaria.

BY ACCESSING OR USING THE SERVICES, YOU AGREE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, THEN YOU MAY NOT USE THE SERVICES. If you are accessing the SERVICES on behalf of a business or corporate entity ("Organisation"), then you hereby represent and warrant that you have the authority to bind that Organisation and your acceptance of this Agreement will be treated as acceptance by the Organisation. In that event, "Client", "User", "you" and "your" in this Agreement will refer to the Organisation.

2. EXCHANGE PROVISIONS

(i) The ramp service, as delivered by Changex, is expressly designed to enable the reciprocal exchange of value between traditional fiat currencies and respective units of cryptocurrency. In these "Exchange Provisions," the term "Cryptocurrency" is defined as a decentralised digital asset, the value of which is derived independently of any central banking system or governmental authority and is primarily determined by the level of trust vested in it by its users. Changex is an intermediary that allows the exchange between Euros and the cryptocurrencies Bitcoin (BTC), Ethereum (ETH), USD Coin (USDC), Tether (USDT), CHANGE, HYDRA and vice versa. The owners of Changex reserve the right to add or exclude other cryptocurrency units in their service offerings.

(ii) The exchange of cryptocurrency units shall only take place through:

- The automated platform of www.changex.io and the Changex App;

- Via the client contact email: [email protected]

Changex does not employ sales representatives and does not accept orders through other sites, social networks and messengers. Olympus Capital JSC is not responsible for orders not placed through official channels for this purpose.

(iii) The ramp service offered by the Changex allows any client to acquire an asset by buying or selling cryptocurrency units against EUR. The moment of transaction when a client purchases cryptocurrency is the time when the relevant amount is received in one of Olympus Capital JSC's accounts and detected by its automated system. In the case of a sale of cryptocurrency, it is the moment when the client sends the required amount of cryptocurrency. The amount in case of sale is paid after receiving the required confirmations for the crypto transaction.

(iv) In order to purchase cryptocurrency units, the client must indicate a valid crypto address (his/her own) to which he/she wishes to receive the amount of cryptocurrency units he/she has requested, as well as to choose his/her preferred payment method. The Changex App team offers the following options:

- Bank transfer to Olympus Capital JSC account - the client makes a transfer with the specified reason for payment to the specified bank account;

(v) In order to sell cryptocurrency units, the client must make a request within the Changex App, then send the requested amount from their cryptocurrency address and indicate their preferred method of receiving payment for the specific transaction. The Changex App team offers the following options:

- Bank transfer to an account specified by the client;

(vi) Given the inherent volatility of cryptocurrencies, please be advised that the price quoted at the time of placing a purchase, sale, or exchange order may vary from the price at the time the transaction is executed. This is a common occurrence in the cryptocurrency market due to its dynamic nature and rapid price fluctuations. Olympus Capital JSC cannot be held responsible for any potential disparities between the quoted price and the actual transaction price.

(vii) Olympus Capital JSC cannot be held responsible for any transactions executed in error or any inaccuracies in the data provided by the client. Transfers involving cryptocurrencies are, by their very nature, 'one-way' transactions and are technically irreversible. This means that once a transaction has been executed, it is essentially impossible to recall or reverse it. As such, it is critically important for clients to ensure that all transaction details, including the recipient's address, the type and amount of cryptocurrency being transacted, are meticulously reviewed and confirmed as accurate prior to the final submission of any transaction.

(viii) In the case of a paid cryptocurrency purchase order by bank transfer from an IBAN unknown to our system, the transaction will be processed after the amount sent by the client has been credited to our bank account, and the corresponding amount of cryptocurrency will be sent to the client by the end of the next business day. That is, the rate at which the order is processed is fixed at the time of receipt of the amount sent by the client and cannot be changed. We reserve the right to delay or withhold the dispatch of cryptocurrency related to any order we deem potentially suspicious or inconsistent with standard transactional patterns. This precautionary measure is necessary to maintain the integrity of our system, prevent fraudulent activity, and safeguard both our operations and our clients' interests. Transactions under investigation will proceed only once the concerning circumstances have been satisfactorily clarified.

(ix) When a client places an order for the purchase of cryptocurrency, Olympus Capital JSC commits to delivering the cryptocurrency units to the client-specified address within 15 minutes following the receipt of payment. However, this commitment is subject to the exclusions outlined in point (viii).

(x) Olympus Capital JSC is not responsible for any delays in the delivery of cryptocurrency units that may be caused by third-party interferences. These could include, but are not limited to, network congestion, technical issues experienced by blockchain networks, or other factors beyond our control.

While we strive to ensure efficient and timely transactions, unforeseen disruptions may occur within the broader cryptocurrency ecosystem. Please note that these potential disruptions do not reflect the quality of our services.

When executing a sale order for cryptocurrency, the disbursement of funds in Euros will be initiated within one hour following the receipt of the requisite transaction confirmations. For transactions involving Bitcoin, a minimum of 2 (two) confirmations is required. For transactions involving Ethereum (ETH), USD Coin (USDC), and Tether (USDT), a minimum of 12 (twelve) confirmations is necessary.

The completion timeline for purchases made in Euros via bank transfer is subject to a variety of factors. These factors include but are not limited to: the banking institution handling the client's account, the specific timing and day of the transaction. As such, Olympus Capital JSC cannot guarantee a standard delivery timeframe for such transactions.

While Olympus Capital JSC makes every effort to facilitate swift transaction completions, we cannot be held responsible for any delays caused by a lack of liquidity stemming from interferences by third-party entities upon whom we rely for liquidity. We strongly adhere to all relevant legal and regulatory guidelines in these instances. In the event of liquidity concerns or other potential barriers to the timely completion of transactions, Olympus Capital JSC is committed to providing clients with as much advance notice as is feasible under the given circumstances.

(xi) The minimum amount of cryptocurrency units that can be exchanged with Changex is visible in the order creation form.

(xii) When selling cryptocurrency units, clients must send an exact quantity, and when buying - an exact amount. Otherwise, Olympus Capital JSC is not responsible for slow order execution and rate change.

(xiii) In executing the requested exchange transactions, Olympus Capital JSC operates based on the data provided by the clients. Clients are solely responsible for the accuracy and authenticity of the information they provide. Olympus Capital JSC is not liable for any consequences or losses that might arise should the provided data prove to be inaccurate, misleading, or false.

By engaging in transactions with Olympus Capital JSC, clients affirm that all information they provide is accurate and truthful to the best of their knowledge. Clients also acknowledge and accept that they bear the sole responsibility for any errors or inaccuracies in their data, and that Olympus Capital JSC is not liable for any repercussions resulting from such inaccuracies.

Return Policy

(xiv) If a client seeks to return purchased cryptocurrency units in exchange for a refund in Euros (EUR), Olympus Capital JSC will process the transaction based on the sell rate at the time of the exchange. This procedure is contingent upon our receipt of the returned cryptocurrency units at a wallet address specified by us. Similarly, if a client wishes to reclaim cryptocurrency units previously sold for EUR or exchanged for other cryptocurrency units, the transaction will be conducted using the current purchase rate at the time of the exchange. This process is subject to the receipt of either the amount in an account designated by Olympus Capital JSC, or the appropriate cryptocurrency units at a wallet address specified by us.

Clients should be aware that the dynamic nature of cryptocurrency markets may lead to significant price fluctuations. Consequently, the EUR value or the cryptocurrency units received in these transactions may not be identical to the original amounts transacted.

In all transactions involving cryptocurrencies or bank transfers, the client is responsible for covering any associated transaction fees. These may include, but are not limited to, network fees for cryptocurrency transactions (commonly known as 'gas fees' in the context of certain blockchains), as well as any charges imposed by banking institutions for fund transfers.

- "Purchase rate" is the rate at which any client can buy cryptocurrency units on Changex App.

- "Sell Rate" is the rate at which any client can sell cryptocurrency units on the Changex App.

Prohibited Use of Service

(xv) Clients are strictly forbidden from utilising the Changex App services in any manner that violates or seeks to evade tax or financial regulations. Additionally, activities related to "money laundering" or financing of terrorist organisations are strictly prohibited.

(xvi) Clients bear full responsibility for any use of information, programming code, or equipment with malicious intent, aimed to disrupt, interfere, obstruct or restrict the normal functioning of any computer equipment, software, or connectivity to the internet, or unauthorised access to the database, technical support, or any other resources associated with the Changex services. In case of any breach of these conditions by a client, Olympus Capital JSC reserves the right to provide all relevant client information to the appropriate legal authorities.

Unauthorised Use

In cases where Olympus Capital JSC suspects unauthorised or suspicious use of the Changex services, we reserve the right to revoke any pending requests from any individual client or group of clients implicated. We also retain the right to reverse any payments made or received by such clients.

By utilising our services, clients consent to these terms and conditions, understand their legal obligations, and acknowledge the potential consequences of non-compliance. All clients are urged to maintain a high standard of legal and ethical conduct when using our services.

Limitation of Liability

(xvii) Olympus Capital JSC is not liable for any technical issues or damages that may occur due to factors beyond our control, including, but not limited to, issues with software, computer equipment, internet connectivity, client misconduct, illegal activities by third parties, or unforeseeable or extraordinary circumstances. Furthermore, Olympus Capital JSC cannot be held accountable for actions taken through a client's account if the client has voluntarily shared their password with third parties, or has failed to exercise due diligence in ensuring the security of their software, computer equipment, internet connection, or in the creation, confidentiality, and regular updating of their passwords.

(xviii) Additionally, Olympus Capital JSC disclaims responsibility for the reliability or operational conditions of third-party intermediaries whose services are utilised by clients in executing transactions as outlined in points (iv) and (v) of these Terms of Service. Clients are encouraged to familiarise themselves with the General Terms and Conditions of these third-party intermediaries, which can be obtained directly from these parties.

By using our services, clients acknowledge and agree to these conditions, recognizing that they bear full responsibility for their own actions, the security of their accounts, and their interactions with third-party intermediaries. Compliance with these conditions is essential to maintain legal and regulatory standards in all operations.
