These Terms of Service ("Terms") govern your access to and use of the Changex website at https://changex.io (the "Website") and the Changex mobile application (the "Changex App"), collectively referred to as the "Platform".

The Website is operated by Olympus Capital AD, a company registered in the Republic of Bulgaria under UIC 206820199, with its registered office at bul. Simeonovsko Shose 33, floor 1, 1700 Sofia, Bulgaria ("Olympus Capital", "we", "us", or "our").

Important Notice: The Changex App is powered by Holyheld Digital Limited, a company registered in Bulgaria under registration number 204937129, with its office at bul. Simeonovsko Shose 33, floor 1, 1700 Sofia, Bulgaria ("Holyheld"). All crypto-asset services available through the Changex App — including but not limited to crypto-asset exchange, wallet functionality, debit card services, and related financial services — are provided exclusively by Holyheld and its licensed partners. Olympus Capital does not itself provide any crypto-asset services, custodial services, electronic money services, or payment services.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

2.1. Olympus Capital operates the Changex brand and the Website as a front-end interface to the services provided by Holyheld.

2.2. When you use the Changex App, you are using the Holyheld platform, branded and presented under the Changex name. All interactions with the crypto-asset exchange, wallet, card, and other financial services within the App are governed by Holyheld's own terms and policies.

2.3. By using the Changex App, you agree to be bound by:

• Holyheld Privacy Policy
• Holyheld AML Policy
• Holyheld Fees

These documents are incorporated herein by reference and apply to your use of all services available through the Changex App. In case of any conflict between these Terms and Holyheld's Terms and Conditions with respect to the crypto-asset services, Holyheld's Terms and Conditions shall prevail.

2.4. Debit card and electronic money services accessible through the Changex App are provided by Unlimit, company number HE 328641, registered at 125 Griva Digeni, Limassol 3101, Cyprus, licensed and regulated by the Central Bank of Cyprus as an Electronic Money Institution (license number 115.1.3.7). Neither Olympus Capital nor Holyheld provides electronic money or payment services in its own name.

3.1. Olympus Capital's role is limited to:

• Operating the Changex Website and brand;
• Marketing and promoting the services available through the Changex App;
• Providing general customer support and directing users to Holyheld's support channels for service-specific inquiries.

3.2. Olympus Capital does not:

• Provide crypto-asset exchange, custody, or transfer services;
• Hold, manage, or control any user funds, crypto-assets, or private keys;
• Issue or manage debit cards or electronic money;
• Perform KYC/AML verification (this is handled by Holyheld and its partners);
• Act as a financial intermediary or payment service provider.

3.3. Olympus Capital AD is a registered Virtual Asset Service Provider (VASP) in Bulgaria under Registration No. BB-94, currently operating under the MiCA transitional regime (Grandfathering Clause) pursuant to §3, para. 1 of the Final and Transitory Provisions of the Bulgarian Markets in Crypto-Assets Act (ZPZKA).

4.1. To use the Platform, you must be at least 18 years old and legally capable of entering into binding agreements under the laws of your jurisdiction.

4.2. The Platform is not intended for use by persons located in jurisdictions where such use would violate applicable laws or regulations.

4.3. The Platform is not available to U.S. persons or residents of sanctioned or restricted jurisdictions.

5.1. You agree to use the Platform only for lawful purposes and in accordance with these Terms.

5.2. You are solely responsible for ensuring that your use of the Platform complies with all applicable laws and regulations in your jurisdiction.

5.3. You shall not:

• Use the Platform for any illegal, fraudulent, or unauthorized purpose;
• Attempt to gain unauthorized access to any part of the Platform;
• Introduce malicious software, viruses, or other harmful code;
• Interfere with the proper functioning of the Platform;
• Use automated means (bots, scrapers, etc.) to access the Platform without prior written consent;
• Impersonate any person or entity or misrepresent your affiliation.

6.1. The Changex brand, name, logo, and all content on the Website (excluding Holyheld's proprietary technology and content) are the property of Olympus Capital or its licensors and are protected by applicable intellectual property laws.

6.2. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes in accordance with these Terms.

7.1. The Website is provided on an "as is" and "as available" basis. Olympus Capital makes no representations or warranties of any kind, express or implied, regarding the availability, reliability, accuracy, or completeness of the Website.

7.2. Olympus Capital does not warrant that the Website will be uninterrupted, error-free, or free of harmful components.

7.3. Olympus Capital does not provide any investment, financial, tax, or legal advice. Any information on the Website is for general informational purposes only.

8.1. To the fullest extent permitted by law, Olympus Capital shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or relating to:

• Your use of, or inability to use, the Platform;
• Any services provided by Holyheld or its partners through the Changex App;
• Any unauthorized access to or use of your account or personal data;
• Any errors, inaccuracies, or omissions in the content of the Website;
• Any loss of crypto-assets, funds, or data.

8.2. Your sole and exclusive remedy for dissatisfaction with the Platform is to stop using it.

9.1. The Platform may contain links to third-party websites or services. Olympus Capital is not responsible for the content, privacy practices, or terms of any third-party services.

9.2. Your use of any third-party services is at your own risk and subject to the terms and conditions of those services.

You agree to indemnify, defend, and hold harmless Olympus Capital, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform.

11.1. We may suspend or terminate your access to the Website at any time, without prior notice, for any reason, including if we reasonably believe you have violated these Terms.

11.2. Termination of your access to the Website does not affect the terms governing your use of services provided by Holyheld. For matters relating to your Holyheld account, please refer to Holyheld's Terms and Conditions.

12.1. We reserve the right to modify these Terms at any time. Updated Terms will be posted on the Website with a revised "Last Updated" date.

12.2. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms.

13.1. These Terms shall be governed by and construed in accordance with the laws of the Republic of Bulgaria.

13.2. Any disputes arising out of or in connection with these Terms shall be resolved by the competent courts of the Republic of Bulgaria.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
